Private 5ESS Switch Owners Association Charter

(As of 11/2008)

1. Private 5ESS Switch Owners Association (P5SOA)

The P5SOA is a partnership comprised of private Alcatel-Lucent 5ESS Switch owners who have, or will be, implementing a 5ESS switching system. The P5SOA provides a forum for its members to:

  • Exchange information on applications, adjunct equipment, operational concerns and other issues;
  • Acquire knowledge on current topics of interest relative to 5ESS based networks;
  • Use commercial vendors (such as Alcatel-Lucent, LGS Innovations, etc.) as a sounding board for advice about their products and service development direction, and also operations, administration, maintenance and engineering issues, as identified by the P5SOA and/or its individual members.

1.1 Membership
Membership is open to companies, institutions and government agencies who own a 5ESS switch. There is a (annual) conference fee of $200.00 to maintain an appropriate amount of reserve funds to defray conference costs. The P5SOA relies, to a great degree, on the volunteer efforts of its members. The group is most effective when every member voluntarily takes an active role in the P5SOA, and its sub-committees, to help plan/host meetings and support other group activities.

1.2 Frequency of Meetings
The P5 SOA will meet once a year, in the October/November time frame.

2.0 Committees and Responsibilities

2.1 Executive Committee (EC) Membership
EC officers are defined as the Chair, the Vice-Chair and the Secretary-Treasurer and serve one-year terms. At the expiration of the Chair's term, the Vice-Chair will move into the Chair's position for sake of continuity. The Secretary-Treasurer may continue, at his/her option (and that of the P5SOA membership) to serve in that position for subsequent one-year term(s). EC officer incumbents may serve more than one term as desired by the voting membership. The Steering Subcommittee (SS) will seek EC replacement officer(s) and forward nominations to the P5SOA membership for election to office.

2.2 Executive Committee (EC) Responsibilities

P5SOA Meetings: The EC will schedule P5SOA meetings.

Executive Committee Meetings: The EC will recommend and review subjects pertinent to the P5SOA prior to presentation at the P5SOA meetings. The EC usually meets face-to-face at P5SOA meetings to plan subsequent meetings. Other EC meetings may take place by conference calls or in conjunction with regularly scheduled P5SOA meetings.

P5SOA Charter: The EC will propose changes to the P5SOA Charter as required or as requested by the membership.

Subcommittees: The P5SOA has one subcommittee called the Steering Subcommittee.

1.    Steering Subcommittee SS: The SS members are all current and two most recent members of the EC that are active members of the P5SOA. The SS seeks replacements for the EC members as their terms expire. Replacements will be sought from among P5SOA members who have stated an interest in serving on the EC. The SS also serves as the contacts for potential new members of the P5SOA, and forwards their name(s) to the Secretary-Treasurer for addition to the mailing list.

2.3 Secretary-Treasurer Responsibilities
The Secretary-Treasurer will assist the EC in preparing (for P5SOA meetings) the agenda, recording and distributing minutes, mailing meeting notices, maintaining a current P5SOA membership roster (including e-mail addresses), and coordinating hotel and meeting logistics (including paying for food and beverage, and other meeting expenses.

3.0 Records and Contacts

P5SOA membership lists/records and financial records will be kept by the EC's Secretary-Treasurer.

The SS will maintain a record of potential new members until membership is effected, at which time the new member will be added to the P5SOA roster by the Secretary-Treasurer. The SS will also maintain a record/list of contacts (individuals or private/commercial institutions or agencies) who may provide assistance to the P5SOA in meeting their objectives.
